Succession arrangement

Planning the succession arrangement may be seen as one of the biggest challenges for the management of a company. It is of great importance to call in a neutral external expert in the decision-making process and in the subsequent evaluation. Within the company, this expert may be the chairman of the board of directors provided he is not the owner, or a qualified consultant from outside the company.

One possible procedure for the succession arrangements is described below:

In the management: In the company and its environment incl. the owner’s private situation:

  1. Convincing the owner by the board of directors
  2. Agreeing the overall management (chairman or board of directors)
  3. External consultants (check references)
  4. Situation analysis (family, assets, potential successor, preferences...)
  5. Business appraisal (quantitative, SWOT)
  6. Succession variants (sale, MBO, family ...), see Sale of the company
  7. Contract with arrangements for handing over control

  1. Internal information concept (time, content, form)
  2. External information concept (ditto)
  3. Communication of the information
  4. Asset and tax planning for retiring business owner
  5. Fiscal optimisation

The Berne Economic Development Agency assists succession arrangements indirectly through advisory services, mediation and coaching, carried out by the partners in the BEDA network and, in exceptional cases, with financial and fiscal means.
